Custom Website Service Agreement

By accessing or using the custom website design and build services provided by Maisey, LLC ("Maisey"), you agree to the following terms and conditions:


1. Service Description:

Maisey offers comprehensive website design, development, launch, and support services for clients. This includes conducting initial onboarding meetings to understand client needs, designing and developing websites with a pre-agreed number of pages, ensuring mobile responsiveness, implementing search engine optimization (SEO), and providing ongoing maintenance and support post-launch.


2. Timeline:

Project milestones and deadlines are proposed based on the outlined phases of the project:

a. Phase 1 | Onboarding and Requirement Gathering: Arrange a meeting with the client to conduct an onboarding call aimed at comprehending their needs and requirements for the website, following the completion of a branding questionnaire by the client.


b. Phase 2 | Initial Design Phase: Design the homepage with copy and wireframe the full site. Design the logo concurrently with the homepage. Submit homepage design with copy and logo for client's approval. Throughout this phase, the client shall be entitled to provide feedback on two occasions as outlined in Section 4a of the service agreement.

c. Phase 3 | Full Site Design: Once homepage design and logo are approved, proceed to design the full site with copy. Present the full site design to the client for approval. Throughout this phase, the client shall be entitled to provide feedback on two occasions as outlined in Section 4b of the service agreement.


d. Phase 4 | Mobile Design: Design the mobile version of the website while ensuring it aligns with overall website aesthetics and functionality.


e. Phase 5 | Development: Begin development of the website based on approved desktop full-site designs. Internally quality check (QC) the developed website to ensure functionality and design consistency. Prepare to present the website to the client for approval.


f. Phase 6 | Presentation and Approval: Schedule a walkthrough session with the client to showcase the developed website. Present all functionalities of the website and address any questions or concerns. Obtain client approval for the developed website.


g. Phase 7 | SEO Preparation and Website Publication: Upon approval, prepare the website for search engine optimization (SEO). Connect the website to the client's domain. Publish the website to make it live on the internet.


h. Phase 8 | Branding Kit Delivery: Prepare a branding kit for the client, which includes but is not limited to: A PDF brand guide, logo files in vectorized and PNG formats, website icons (Favicon, social, and homescreen), and font files. Deliver the branding kit to the client along with the published website.


i. Phase 9 | Maintenance and Support: Upon website publication, initiate 24/7 maintenance and support services to ensure the website's optimal performance and address any technical issues or inquiries from users.

3. Payment:

Client agree to compensate Maisey in accordance with the payment schedule outlined in the email sent from Maisey’s billing department. This includes the initial deposit, demonstrating mutual commitment to the project's success. Additionally, upon the website's successful launch, a monthly maintenance fee will be implemented to ensure its continued optimal performance and support. The total compensation covers all services provided by Maisey under the agreement.


4. Scope Change and Feedback:

While we strive to maintain timely progress on all projects, it's important to note that delays may occur if responses from clients are not promptly received across all communication channels. We kindly ask for your cooperation in ensuring efficient communication to help us deliver your project on schedule. In such instances, Maisey cannot be held responsible for resulting project delays.


If we contact you via email three (3) times without receiving a response within two (2) weeks, we reserve the right to put your project on hold. During this "on hold" phase, we will email you every two (2) weeks to seek further communication. Once we hear back from you, we will update your project to active and add it back to the queue, but please be aware that your timelines may need to be re-evaluated as a result.


Any proposed changes to the project scope must be submitted in writing for consideration. Additionally, feedback during the design process is limited to ensure efficient project management. Clients are encouraged to provide feedback within the designated rounds to avoid delays and additional charges for major revisions.

a. Homepage and Logo Design: The client shall have the opportunity to provide feedback on the initial homepage and logo designs. Maisey will incorporate client feedback and provide one (1) additional round of revisions. Subsequent major revisions beyond this second round may result in additional charges to be negotiated between the parties.


b. Full Site Design: Similarly, the client shall have the opportunity to provide feedback on the initial full site design. Maisey will incorporate client feedback and provide one (1) additional round of revisions. Subsequent major revisions beyond this second round may result in additional charges to be negotiated between the parties.

5. Client’s Conduct:

Clients must conduct themselves in a professional manner that upholds the reputation of both parties. Any conduct deemed to degrade or erode the reputation of either party may result in the termination of the agreement by Maisey.


6. Third-Party Material:

Client will secure necessary licenses for third-party materials used in the project, while Maisey will provide proper references. Any expenses related to third-party services integration are the responsibility of the client.


7. Intellectual Property:

All intellectual property rights associated with the website design, development, and any related materials produced by Maisey shall belong to the client upon completion and payment. This includes but is not limited to website content, graphics, logos, and branding elements. Maisey may include samples of the work in their portfolio solely for demonstration purposes.


8. Force Majeure:

Neither party shall be liable for delays or failures beyond their control, including but not limited to acts of nature, government regulations, or unforeseen circumstances.
